‍Welcome to Significo, a health technology company that develops and licenses proprietary products, including but not limited to Recco, Nutrition Database, and Balm (collectively, the “Products”). These Terms of Use (“Terms”) govern your access to and use of the Products and services provided by Significo (“we,” “us,” or “our”). By accessing or using any of our Products, you agree to be bound by these Terms. If you do not agree, do not use our Products.

1. Acceptance of Terms

‍By using our Products, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Products

• Recco: An AI-based health recommendation engine that assesses a user’s baseline health and risk factors and provides the best next actions a person can take to improve their future health.
• Nutrition Database: A dynamic tool that combines nutritional content of foods with various dietary preferences, restrictions, and serving sizes.
• Balm: A software intervention platform designed to support health and wellness initiatives.

3. License and Restrictions

‍Significo grants you a limited, non-exclusive, non-transferable, and revocable license to use the Products for their intended purpose in accordance with these Terms. You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any of our Products.
• Use our Products to develop, train, enhance, or test any competing software or services.
• Access, modify, or use the Products in a manner that infringes our intellectual property rights.
• Distribute, sublicense, rent, lease, or otherwise transfer your rights to use our Products.
• Bypass, disable, or interfere with any security or access control measures of our Products.

4. Intellectual Property Rights

‍All rights, title, and interest in and to our Products, including all software, algorithms, user interfaces, and proprietary methodologies, are owned by Significo. These Terms do not grant you any ownership rights. Any unauthorized use of our Products may result in legal action.

5. Prohibited Uses

‍You may not, if you have a commercial relationship with Significo, directly or indirectly develop, participate in, or support the creation of any product or service that competes with any of Significo’s Products. Additionally, you agree not to:

• Use the Products for any illegal, fraudulent, or unauthorized purposes.
• Copy, scrape, or otherwise extract data from our Products without our written permission.
• Use our Products in a way that competes with Significo or any of its offerings.
• Interfere with the normal operation of the Products or attempt to gain unauthorized access to them.

6. User ResponsibilitiesYou are responsible for:

• Providing accurate information when using our Products.
• Maintaining the confidentiality of your login credentials.
• Complying with all applicable laws and regulations when using our Products.

7. Disclaimers and Limitation of Liability

• Our Products are provided “as is” without warranties of any kind, express or implied.
• We do not guarantee that our Products will be error-free, uninterrupted, or meet your specific requirements.
• To the fullest extent permitted by law, Significo shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our Products.

8. Indemnification

‍You agree to indemnify, defend, and hold harmless Significo, its affiliates, and employees from any claims, damages, or liabilities arising from your use of the Products, your violation of these Terms, or your infringement of any rights of a third party.

9. Termination

‍We reserve the right to suspend or terminate your access to our Products at our sole discretion if you violate these Terms or engage in any activities that are harmful to Significo.

10. Modifications to Terms

‍We may update these Terms from time to time. Continued use of the Products after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

‍These Terms are governed by the laws of Germany. Any disputes shall be resolved through binding arbitration or litigation in Berlin, except where prohibited by law.
